Terms of Use
These Terms of Use ("Terms") govern access to and use of the DonePact platform and related services provided by DonePact Technologies Private Limited ("DonePact", "Company", "We", "Us", or "Our"), a company incorporated under the Companies Act, 2013, with its registered office at 401, Landmark Premises, Juhu Tara Road, Mumbai – 400049, India.
By accessing or using the Platform, Customer agrees to be bound by these Terms.
Important Notices
B2B Platform Only — DonePact is intended solely for use by businesses, enterprises, partnerships, LLPs, corporations, start-ups, professional firms, and other commercial organizations. Individuals acting in a personal or consumer capacity are prohibited from subscribing to or using the Platform.
Technology Platform — Not a Law Firm — DonePact is a technology-enabled workflow and agreement operations platform. We do not provide legal advice, legal representation, or legal opinions. Use of the Platform does not create any attorney-client relationship.
Human Review Required — AI-generated drafts, summaries, redlines, workflows, recommendations, insights, risk indicators, negotiation suggestions, or outputs generated by AI Agents are intended to assist users and must be independently reviewed and validated by appropriately qualified human personnel before reliance or execution.
Customer Control — Customer remains solely responsible for all decisions taken using the Platform approvals, negotiations, execution, and acceptance of contracts supervision of AI Agents and workflows and compliance with applicable laws and internal policies.
Data Retention & Archival — Upon termination or expiration of Services, Customer is responsible for exporting and archiving all Customer Data, executed agreements, audit trails, and records. Unless otherwise agreed in writing, DonePact may permanently delete Customer Data after thirty (30) days from termination.
1 Definitions
- AI Agents – Software-based autonomous or semi-autonomous systems, workflows, automations, models, or intelligent agents operating within the Platform that may perform tasks such as drafting, reviewing, extracting, analyzing, negotiating, summarizing, classifying, routing, or recommending actions in relation to agreements or workflows.
- Authorized Users – Employees, consultants, representatives, agents, or personnel authorized by Customer to access or use the Platform.
- Customer – The legal entity subscribing to or using the Platform.
- Customer Data – All agreements, templates, playbooks, workflows, prompts, files, data, communications, approvals, comments, metadata, instructions, and information uploaded, generated, stored, or processed by or on behalf of Customer through the Platform.
- Platform – The DonePact platform including websites, mobile applications, APIs, browser extensions, Microsoft Word Add-ins, integrations, workflow modules, AI capabilities, and associated software and services.
- Services – The subscription-based agreement operations, workflow, automation, AI assistance, collaboration, document management, e-signature, analytics, integration, and related services made available by DonePact.
- Subscription Term – The period during which Customer is authorized to access and use the Services.
- Workflow Engine – The orchestration and automation capabilities within the Platform enabling request, approval, review, negotiation, execution, renewal, obligation management, or related agreement lifecycle workflows.
2 Platform Overview
DonePact is an AI-native agreement and workflow platform designed to help organizations collaborate before, during, and after execution of agreements.
The Platform may include:
- workflow orchestration
- approval routing
- contract drafting and negotiation tools
- AI-assisted redlining and summarization
- metadata extraction
- search and analytics
- integrations with enterprise systems
- AI Agents
- collaboration tools
- e-signature and execution workflows
- obligation and renewal tracking.
Certain functionalities may be powered by machine learning systems, third-party AI providers, rules engines, automations, or AI Agents.
3 Account Registration & Security
3.1 Eligibility
By using the Services, Customer represents and warrants that:
- it is a recognized business entity
- it has authority to enter into these Terms
- its Authorized Users are authorized to use the Platform.
3.2 Account Responsibility
Customer is responsible for:
- maintaining confidentiality of credentials
- all activities conducted through Customer accounts
- managing user access permissions
- ensuring Authorized Users comply with these Terms.
DonePact shall not be liable for unauthorized access arising from Customer's failure to maintain security controls.
3.3 Administrative Control
Customer administrators may configure workflows, permissions, AI settings, approval hierarchies, integrations, and automation rules. Customer is solely responsible for such configurations.
4 Subscriptions, Fees & Payments
4.1 Subscription Activation
Services become active only upon:
- execution or acceptance of applicable order forms (if any)
- realization of subscription fees in DonePact's designated bank account and
- activation by DonePact.
4.2 Fees
Customer shall pay all applicable subscription fees, usage fees, implementation fees, integration fees, AI usage fees, and taxes.
4.3 Taxes
All fees are exclusive of GST and other applicable taxes.
4.4 No Refunds
Except where required by applicable law or expressly agreed in writing, fees are non-refundable.
4.5 Suspension
DonePact may suspend access for non-payment, security risks, unlawful usage, or material breach.
5 License & Acceptable Use
5.1 License Grant
Subject to compliance with these Terms, DonePact grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the Subscription Term for internal business purposes.
5.2 Restrictions
Customer shall not:
- reverse engineer or attempt to extract source code
- use the Platform to develop competing products
- sublicense or resell the Services unless expressly authorized
- bypass security mechanisms
- use the Platform for unlawful, infringing, fraudulent, abusive, or deceptive activities
- upload malware or malicious code
- use AI features in violation of applicable law or third-party rights.
5.3 AI Usage Restrictions
Customer shall not:
- intentionally use AI features to generate unlawful, discriminatory, defamatory, infringing, or harmful content
- represent AI-generated outputs as professional legal advice
- use the Platform to make fully automated legally binding decisions without appropriate human oversight where required by applicable law.
6 AI Agents, Automation & Human Oversight
6.1 AI-Assisted Services
The Platform may provide AI-assisted capabilities including:
- drafting suggestions
- clause recommendations
- summarization
- extraction of metadata
- workflow recommendations
- negotiation assistance
- semantic search
- analytics
- AI Agent-based automations.
6.2 Human-in-the-Loop Requirement
Unless expressly stated otherwise in writing, AI Agents operate as assistive systems and not as independent decision-makers. Customer acknowledges and agrees that AI outputs may contain inaccuracies, omissions, hallucinations, inconsistencies, or incorrect interpretations human review and validation are mandatory before execution or reliance Customer remains solely responsible for legal, commercial, operational, and compliance decisions.
6.3 AI Agents Acting on Instructions
AI Agents may perform tasks based on Customer prompts, configured workflows, playbooks, approval rules, prior instructions, integrations, or training configurations. Customer is solely responsible for reviewing and validating such configurations.
6.4 No Guarantee of Accuracy
DonePact does not warrant that AI outputs will be accurate, complete, or legally compliant AI Agents will correctly interpret intent or automations will operate uninterrupted or error-free.
6.5 Third-Party AI Providers
Certain AI features may utilize third-party AI or cloud infrastructure providers. Customer authorizes DonePact to process Customer Data through such providers solely for providing the Services.
7 Customer Data & Data Rights
7.1 Ownership
Customer retains ownership of Customer Data.
7.2 Limited License to DonePact
Customer grants DonePact a limited right to host, process, transmit, analyze, index, store, reproduce, and use Customer Data solely to provide the Services to maintain security to support workflows and integrations to improve platform performance and as otherwise permitted under these Terms.
7.3 Tenant Isolation
DonePact employs commercially reasonable tenant isolation measures designed to segregate Customer Data from other customers.
7.4 AI Training Restrictions
Unless expressly authorized by Customer in writing, DonePact shall not use Customer contract text or confidential agreements to train generalized foundational AI models for unrelated third parties Customer-specific confidential data shall remain logically isolated.
7.5 Aggregated & Anonymized Data
DonePact may use aggregated, anonymized, statistical, or de-identified metadata for analytics, benchmarking, platform optimization, product development, and AI improvement.
7.6 Customer Responsibility
Customer represents and warrants that it has all necessary rights, permissions, consents, and lawful basis to upload and process Customer Data through the Platform.
8 Confidentiality
Each party agrees to protect Confidential Information using reasonable care use Confidential Information solely for purposes related to the Services and restrict disclosure to personnel and contractors with a need to know.
Confidential Information does not include information that is publicly available without breach was lawfully known prior to disclosure is independently developed or is lawfully obtained from third parties.
9 Integrations & Third-Party Services
9.1 Third-Party Integrations
The Platform may interoperate, integrate, connect, or exchange data with third-party applications, systems, platforms, APIs, software, communication tools, cloud services, identity providers, enterprise systems, databases, or external services (“Third-Party Services”). Such Third-Party Services may include email systems, CRMs, ERPs, collaboration tools, cloud storage platforms, messaging systems, AI providers, procurement platforms, accounting systems, workflow tools, or e-signature providers.
9.2 Customer Authorization
Customer authorizes DonePact and its AI Agents to access, process, transmit, retrieve, store, synchronize, modify, organize, and exchange Customer Data with Third-Party Services as configured, enabled, instructed, or approved by Customer or its Authorized Users.
Customer is solely responsible for configuring integrations granting permissions and access rights validating workflows and automations maintaining appropriate security settings monitoring synchronization behavior and reviewing actions initiated through integrations or AI workflows.
9.3 Third-Party Terms
Use of Third-Party Services may be subject to separate terms, privacy policies, licensing terms, or acceptable use policies imposed by such providers. Customer is solely responsible for compliance with such terms.
9.4 No Responsibility for Third-Party Services
DonePact does not own or control Third-Party Services and shall not be responsible or liable for availability, uptime, interruptions, or failures of Third-Party Services API changes or deprecations loss, corruption, delay, duplication, or modification of data caused by Third-Party Services acts, omissions, security failures, or breaches of Third-Party providers unauthorized access resulting from Customer configurations or permissions or decisions, messages, approvals, workflow triggers, or actions initiated through integrated systems.
9.5 AI & Automation Risks
Customer acknowledges that integrations and AI-enabled workflows may automatically exchange information trigger workflows route approvals generate notifications create records update statuses recommend actions and initiate automated actions based on configured rules or AI Agent behavior. Customer is solely responsible for reviewing, supervising, validating, and approving such automations and workflows.
9.6 Suspension or Modification of Integrations
DonePact may modify, suspend, restrict, or discontinue integrations at any time due to security concerns legal or compliance requirements Third-Party API limitations provider restrictions technical incompatibilities or operational requirements.
10 E-Signatures & Electronic Records
10.1 Electronic Signatures
The Platform may facilitate electronic signatures and digital workflows. Customer acknowledges that enforceability of agreements depends on multiple legal and factual factors including applicable law, stamp duty compliance, identity verification, authority of signatories, and admissibility requirements.
10.2 Audit Trails
DonePact may maintain logs, timestamps, workflow histories, and audit trails.
10.3 Customer Archival Obligation
Customer is solely responsible for exporting and archiving executed agreements, audit trails, and records. Unless otherwise agreed, DonePact may permanently delete Customer Data and audit records after thirty (30) days from termination.
11 Availability, Security & Support
11.1 Availability
DonePact will use commercially reasonable efforts to maintain Service availability.
11.2 Maintenance & Changes
DonePact may modify features, update interfaces, improve AI models, discontinue features, or perform maintenance.
11.3 Security
DonePact will implement commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. However, no system can guarantee absolute security.
12 Disclaimers
12.1 As-Is Basis
Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, DonePact disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
12.2 No Legal Advice
DonePact does not provide legal advice. AI outputs, templates, workflows, risk indicators, clause suggestions, and recommendations do not constitute legal opinions or professional advice.
12.3 AI Limitations
AI systems may generate inaccurate, misleading, incomplete, or fabricated outputs. Customer must independently verify all outputs before reliance.
13 Limitation of Liability
To the maximum extent permitted by law:
- DonePact shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages
- DonePact shall not be liable for loss of profits, revenue, goodwill, contracts, data, business opportunities, or anticipated savings
- DonePact shall not be liable for decisions taken by Customer or Authorized Users based on AI outputs or workflows.
DonePact's aggregate liability arising out of or related to the Services shall not exceed the total fees paid by Customer to DonePact during the three (3) months preceding the event giving rise to the claim.
14 Indemnification
Customer shall indemnify and hold harmless DonePact and its directors, officers, employees, affiliates, and contractors against claims arising from Customer's breach of these Terms Customer Data unlawful or unauthorized use of the Platform disputes relating to agreements processed through the Platform or Customer's use of AI outputs without appropriate review.
15 Intellectual Property
DonePact and its licensors retain all rights, title, and interest in the Platform, software, workflows, AI systems, interfaces, documentation, trademarks, analytics, models, and improvements. Except for limited usage rights expressly granted herein, no rights are transferred to Customer.
16 Term & Termination
16.1 Term
These Terms remain effective during the Subscription Term.
16.2 Termination
DonePact may suspend or terminate access for non-payment, security concerns, unlawful conduct, or breach of these Terms.
16.3 Effect of Termination
Upon termination, Customer's right to access the Services ceases Customer must discontinue use of the Platform and DonePact may delete Customer Data after applicable retention periods.
17 Compliance with Laws
17.1 Customer Compliance
Customer is solely responsible for ensuring that its use of the Platform, Customer Data, workflows, AI Agent configurations, approvals, contracts, and business processes comply with all applicable laws, regulations, and industry requirements, including privacy, employment, intellectual property, data protection, export control, sanctions, and sector-specific laws. Customer is responsible for obtaining all required consents, approvals, authorizations, and lawful basis necessary for processing Customer Data through the Platform.
17.2 DonePact Compliance
DonePact shall comply with laws applicable to its provision and operation of the Services as a technology platform provider.
17.3 No Compliance Warranty
Customer acknowledges that use of the Platform does not by itself ensure Customer’s legal or regulatory compliance, and DonePact does not warrant that any workflow, AI output, template, recommendation, or automation generated through the Platform will satisfy Customer’s legal or regulatory obligations.
18 Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Courts located in Mumbai, Maharashtra shall have exclusive jurisdiction.
19 General Provisions
19.1 Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Services.
19.2 Assignment
Customer may not assign these Terms without prior written consent. DonePact may assign these Terms to affiliates, successors, or in connection with mergers, acquisitions, or business transfers.
19.3 Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control.
19.4 Severability
If any provision is held unenforceable, remaining provisions shall remain effective.
19.5 Amendments
DonePact may update these Terms from time to time. Continued use after updates constitutes acceptance.
