These Beta / Pilot Terms (“Pilot Terms”) govern access to and use of the beta, pilot, preview, early access, evaluation, testing, or pre-release versions of the DonePact platform, products, features, integrations, AI functionalities, APIs, workflows, or related services (collectively, the “Pilot Services”) provided by DonePact Technologies Pvt. Ltd.

By accessing or using the Pilot Services, the customer, user, organization, or entity (“Customer”, “you”, or “your”) agrees to these Pilot Terms.

These Pilot Terms are in addition to the applicable Terms of Use, Privacy Policy, DPA (if applicable), and any commercial agreement executed with DonePact.

1 Purpose of Pilot Services

The Pilot Services are provided for evaluation, testing, validation, demonstration, feedback, product improvement, workflow assessment, integration testing, limited commercial use, and related purposes.

The Pilot Services may contain experimental, incomplete, evolving, or unstable features and functionalities.

2 Nature of Beta / Pilot Services

Customer acknowledges and agrees that:

  • The Pilot Services are pre-release services
  • features, workflows, APIs, AI systems, automations, integrations, and interfaces may change at any time
  • certain functionalities may not operate as intended
  • the Pilot Services may contain bugs, defects, interruptions, delays, inaccuracies, or security vulnerabilities
  • certain features may be modified, suspended, restricted, or discontinued without notice
  • availability, uptime, performance, and response times are not guaranteed and
  • the Pilot Services may not yet meet production-grade standards.

Customer should not rely exclusively on the Pilot Services for mission-critical, high-risk, regulated, or time-sensitive operations.

3 Permitted Use

Customer may use the Pilot Services solely for internal business evaluation, testing, pilot deployment, workflow validation, or limited operational purposes approved by DonePact.

Customer shall not:

  • use the Pilot Services for unlawful purposes
  • attempt to reverse engineer or gain unauthorized access to the platform
  • introduce malicious code or security threats
  • use the Pilot Services in violation of applicable laws or third-party rights
  • conduct benchmarking or competitive analysis for publication without prior written consent or
  • use the Pilot Services in a manner that could impair platform stability, security, or performance.

4 AI Features & Outputs

The Pilot Services may include AI-powered drafting, summarization, metadata extraction, clause suggestions, search, analytics, negotiation support, automation, and other AI-assisted functionalities.

Customer acknowledges that:

  • AI outputs may contain inaccuracies, hallucinations, omissions, or non-binding suggestions
  • AI-generated content is provided for assistance purposes only
  • DonePact does not guarantee the legal validity, enforceability, accuracy, completeness, or suitability of AI-generated outputs
  • human review and independent validation are required before relying on any AI-generated output
  • AI outputs should not be treated as legal advice and
  • certain AI functionalities may rely on third-party AI providers.

Customer remains solely responsible for reviewing, approving, and using any output generated through the Pilot Services.

5 Customer Data

Customer retains ownership of Customer Data uploaded or submitted to the Pilot Services.

Customer grants DonePact a limited, non-exclusive, worldwide license to host, process, transmit, analyze, display, copy, and use Customer Data solely for:

  • providing the Pilot Services
  • operating and maintaining the platform
  • troubleshooting and support
  • improving workflows, features, and system performance
  • security and abuse prevention
  • AI-assisted processing requested by Customer and
  • internal analytics and service improvement.

Customer represents that it has all rights, consents, and permissions necessary to upload and process Customer Data through the Pilot Services.

6 Confidentiality

Each party may receive confidential or proprietary information from the other party during the pilot engagement.

Each party agrees to:

  • use confidential information solely for purposes related to the Pilot Services
  • protect such information using reasonable safeguards
  • not disclose confidential information to unauthorized third parties and
  • limit access to personnel and advisors with a legitimate need to know.

Confidential information does not include information that:

  • is publicly available without breach
  • was independently developed
  • was lawfully obtained from a third party or
  • is required to be disclosed by law or court order.

7 Feedback

Customer may voluntarily provide suggestions, comments, ideas, recommendations, workflow inputs, feature requests, bug reports, or other feedback (“Feedback”) relating to the Pilot Services.

Customer grants DonePact a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and exploit such Feedback without restriction or compensation.

8 Third-Party Services & Integrations

The Pilot Services may interoperate with or integrate third-party services, APIs, software, communication systems, e-sign providers, CRMs, ERPs, AI providers, email providers, storage systems, or collaboration platforms.

Customer acknowledges that:

  • third-party services are governed by the terms and policies of the relevant providers
  • DonePact does not control third-party systems
  • availability and functionality of integrations may change
  • third-party outages or disruptions may affect the Pilot Services and
  • DonePact is not responsible for third-party systems, content, security, availability, or performance.

9 Security & Data Protection

DonePact implements commercially reasonable security measures designed to protect Customer Data.

However, Customer acknowledges that:

  • no platform or transmission method is completely secure
  • the Pilot Services are evolving services and may have security limitations
  • Customer is responsible for maintaining secure credentials and access controls and
  • Customer should independently assess whether the Pilot Services are appropriate for sensitive, regulated, or mission-critical data.

Where applicable, processing of personal data may additionally be governed by a separate Data Processing Addendum (“DPA”).

10 Support & Service Levels

Pilot Services are provided on a reasonable efforts basis.

DonePact may provide onboarding, implementation assistance, training, support, bug fixes, or feature enhancements at its discretion.

Formal service level agreements (SLAs), uptime commitments, response time guarantees, or support obligations shall not apply unless separately agreed in writing.

11 Fees

Unless otherwise agreed in writing:

  • Pilot Services may be provided free of charge, at discounted pricing, or under a separate commercial arrangement
  • any fees paid for Pilot Services are generally non-refundable and
  • DonePact reserves the right to modify pricing, usage limits, or commercial terms upon transition to general availability.

12 Intellectual Property

DonePact and its licensors retain all rights, title, and interest in and to the Pilot Services, software, APIs, workflows, AI systems, models, interfaces, documentation, improvements, modifications, derivatives, enhancements, and associated intellectual property rights.

No rights are granted except as expressly stated in these Pilot Terms.

13 No Warranty

THE PILOT SERVICES ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONEPACT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • accuracy
  • reliability
  • security
  • availability or
  • error-free operation.

DonePact does not warrant that:

  • the Pilot Services will operate uninterrupted or error-free
  • defects will be corrected
  • AI outputs will be accurate or reliable or
  • the Pilot Services will meet Customer expectations or requirements.

14 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • DONEPACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • DONEPACT SHALL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION AND
  • DONEPACT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PILOT SERVICES SHALL NOT EXCEED THE FEES ACTUALLY PAID BY CUSTOMER TO DONEPACT FOR THE PILOT SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR INR 10,000, WHICHEVER IS LOWER.

The foregoing limitations apply regardless of the form of action and even if advised of the possibility of such damages.

15 Suspension & Termination

DonePact may suspend, restrict, or terminate access to the Pilot Services at any time, with or without notice, including where:

  • Customer violates these Pilot Terms
  • continued access may create legal, security, operational, or reputational risks
  • the Pilot Services are discontinued or
  • pilot testing concludes.

Customer may stop using the Pilot Services at any time.

Upon termination:

  • access rights shall cease
  • certain Customer Data may be deleted in accordance with operational practices and retention policies and
  • DonePact may retain limited information for legal, security, compliance, backup, audit, or operational purposes.

Customers are encouraged to export or back up important data prior to termination.

16 Publicity

Unless otherwise agreed in writing, neither party shall issue press releases or public announcements specifically identifying the other party in connection with the pilot engagement without prior written consent.

DonePact may, however, internally reference pilot participation for operational, investor, product, analytics, or planning purposes.

17 Compliance with Laws

Customer agrees to comply with all applicable laws, regulations, export controls, sanctions laws, privacy laws, intellectual property laws, and industry requirements relating to use of the Pilot Services.

18 Governing Law & Jurisdiction

These Pilot Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, courts located in Mumbai, Maharashtra shall have exclusive jurisdiction over disputes arising out of or relating to these Pilot Terms.

19 Changes to Pilot Terms

DonePact may modify these Pilot Terms from time to time.

Updated versions may be posted on the DonePact website or platform. Continued use of the Pilot Services after changes become effective constitutes acceptance of the revised Pilot Terms.
